AG360 Grain Marketing Subscription Agreement for Market iQ

 

For good and valuable consideration, the undersigned hereby agrees and acknowledges the terms and conditions of this Agreement.

 

1.            “The Company”. The Company, as used below, refers to Sunflower Service Center, LLC dba: AG360 Grain Marketing.​

2.            Service Description.  Market iQ is a newsletter providing the subscriber with sell signals and other technical market indicators. Additional, general market highlights are also included.  The newsletter is intended to be a general indication as to market conditions and not meant to render any specialized advice to any particular individual, or operation.  Subscribers receive Market iQ via email daily, (except under sec 3 below) regardless of whether sell signals are issued or not.  In the event signals are issued, subscribers also receive the signal notification via text.

3.            Potential Disruptions/Omissions.  Additional features such as the regional basis comparator (and any others) are subject to availability of information and may be withdrawn from the newsletter at any time, and contents and elements/features of Market iQ are subject to change at any time, without subscription fee refund in whole or part.  Accuracy of information derived from publicly available data/postings are not guaranteed.  Occasional disruption of service may occur (due to power outages, staff illness, natural cause or any other reason) and are not eligible for any kind of refund, in whole or part, unless the disruption is substantial. In the event a substantial disruption of service occurs, the subscription term will be extended an equal amount of time as the disruption.  Market iQ will not be issued on weekends, holidays, or when the grain and/or cattle markets are closed. Sell signal generation is subject to market activity.  Therefore, no guarantee is made regarding the frequency of signals, or that any will be generated at all.

4.            Binding Effect. This Agreement shall inure to the benefit of and be binding upon the heirs, executors, administrators, legal representative, successors and assigns of the parties hereof. This Agreement shall remain in effect until subscription period has ended.

5.            Severability.  This Agreement does not violate any federal or state statute, rule, regulation or common law known, but if any provision of this Agreement is declared invalid or in violation of any statute, rule, regulation or common law or unenforceable as against public policy, such provision shall be deemed severable from this Agreement and the balance of this Agreement shall remain in full force and effect. 

6.            No Modification of Agreement. This Agreement may not be changed, modified, released, discharged, abandoned or otherwise terminated, in whole or in part, except by a written document executed by both parties.

7.            Headings Not Controlling. The paragraph headings included herein are for reference only and are not part of this Agreement.  The headings shall not control or alter the meaning of this Agreement as set forth in the text.

8.            Entire Agreement. This Agreement may be modified, supplemented and/or amended only by a writing that is signed by both parties.  This Agreement, as it may be so amended, is the complete and final expression of the agreement of the parties and shall control over any other statement, representation or agreement, verbal or written, by the Company. This Agreement supersedes any prior agreement between the parties.

9.            Kansas Law. This Agreement is entered into under the laws of the state of Kansas, and if it becomes necessary to interpret or enforce any of its terms, the laws of the state of Kansas shall apply, without giving effect to principles or provisions thereof related to conflicts of laws or choice of laws.

10.            Distribution.  It is agreed that the subscriber will not forward the Market iQ newsletter to others or display or cause to display any part of the newsletter publicly, or on any social media sources/platforms without the express written permission of AG360 Grain Marketing. 

11.            Subscription Fee. A total $699 flat fee is due upon the execution of this Agreement. This fee is non-refundable.  Term is one year in length. Contact us for multi-year discounted rates. 

        Subscription is for the term indicated and does not automatically renew.​
